Arbitration and Class Action Waiver
You and we agree to resolve any disputes through final and binding individual arbitration, rather than in court. Any arbitration under these terms will be conducted by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be held in a location that is mutually agreeable to both parties, or, failing agreement, in the closest metropolitan area to your primary residence. You must send a written notice of your claim to our legal department before initiating arbitration.
Indemnification
You agree to indemnify and hold us, our affiliates, officers, agents, and employees harmless from any claim, demand, or damage (including reasonable attorneys' fees) made by any third party due to or arising out of your use of the Site, your violation of these terms, or your violation of any rights of another.
General Provisions
These terms shall be governed by the laws of the applicable jurisdiction, without regard to its conflict of law rules. If any provision of these terms is found to be invalid, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of such right. You may not assign your rights under this agreement without our consent. We may assign our rights at any time without condition. This is the entire agreement between you and us regarding the Site.
